These Terms of Service ("Terms") govern your access to and use of AI Pass ("Service"), provided by AI Pass ("Company," "we," "us," or "our"). By creating an account or using our Service, you agree to comply with these Terms.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

AI Pass is a universal AI wallet service that enables users to:

• Purchase and manage credits for accessing AI services
• Integrate AI capabilities into applications via API
• Access multiple AI models through a single account
• Track usage and manage billing

We provide the platform and infrastructure; third-party AI providers deliver the underlying AI models and services.

3. Eligibility

To use AI Pass, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Provide accurate and complete registration information
• Not have a previously suspended or terminated account

By using AI Pass, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your credentials
• One person or entity may only create one account
• You must promptly update any changes to your account information

4.2 Account Security

• You are responsible for all activities under your account
• Notify us immediately of any unauthorized access or security breach
• Use strong passwords and enable two-factor authentication when available
• Do not share your API keys or credentials with third parties

4.3 Account Termination

• You may close your account at any time
• We may suspend or terminate your account for violations of these Terms
• Upon termination, unused credits may be forfeited (see Refund Policy)

5. Payments and Billing

5.1 Pricing and Credits

• Credits are purchased in fixed amounts ($1, $5, $10, or custom amounts)
• Credit prices are displayed at the time of purchase
• We reserve the right to change pricing with 30 days' notice
• Prices are in USD and exclude applicable taxes

5.2 Payment Processing

• Payments are processed securely by Stripe
• You authorize us to charge your payment method for purchases
• You must provide valid payment information
• Failed payments may result in service suspension

5.3 Taxes

• Prices exclude sales tax, VAT, GST, and other applicable taxes
• Taxes are calculated at checkout based on your location
• You are responsible for all applicable taxes
• Business customers may provide valid tax IDs for exemptions

5.4 Credits and Usage

• Credits do not expire unless your account is inactive for 12 months
• Credits are non-transferable and have no cash value
• Usage is deducted in real-time based on API calls and AI model usage
• Pricing for AI model usage is displayed in your dashboard

6. Acceptable Use Policy

You agree NOT to use AI Pass for:

7. API Usage and Rate Limits

7.1 API Keys

• You will receive API keys to access AI Pass services
• Keep API keys confidential and secure
• You are responsible for all usage via your API keys
• Rotate keys regularly and revoke compromised keys immediately

7.2 Rate Limits

• We impose reasonable rate limits to ensure service stability
• Limits are subject to your plan and usage patterns
• Exceeding rate limits may result in throttling or temporary suspension
• Contact us for higher rate limits for enterprise use

7.3 Fair Use

• Do not use the service in ways that harm our infrastructure
• We reserve the right to throttle or suspend abusive usage
• We may contact you to discuss unusual usage patterns

8. Intellectual Property Rights

8.1 Our Rights

• AI Pass owns all rights to our platform, software, and branding
• Our trademarks, logos, and content are protected by intellectual property laws
• You may not use our intellectual property without written permission

8.2 Your Content

• You retain ownership of content you submit to AI Pass
• You grant us a license to process your content to provide services
• You are responsible for ensuring you have rights to content you submit
• We do not claim ownership of AI-generated outputs you create

8.3 Third-Party AI Models

• AI models are provided by third parties (OpenAI, Anthropic, etc.)
• Usage is subject to third-party terms and conditions
• We do not own or control third-party AI models

9. Data and Privacy

Your use of AI Pass is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

10. Service Availability and Support

10.1 Service Level

• We strive for 99.9% uptime but do not guarantee uninterrupted service

• We are not liable for downtime caused by third-party providers

10.2 Support

• We aim to respond within 48 business hours
• Premium support may be available for enterprise customers

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

AI Pass is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of AI-generated outputs
• Uninterrupted or error-free operation

11.2 AI-Generated Content

Important: AI-generated outputs may be inaccurate, biased, or inappropriate. You are solely responsible for:

• Reviewing and verifying AI-generated content before use
• Ensuring outputs comply with applicable laws and regulations
• Any consequences of using or distributing AI-generated content

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the past 12 months
• We are not liable for losses caused by third-party services or providers
• We are not liable for data loss, business interruption, or lost profits

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Pass, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of AI Pass services
• Your violation of these Terms or applicable laws
• Your infringement of third-party rights
• Content you submit or generate using our services

13. Third-Party Services

AI Pass integrates with third-party services (AI model providers, payment processors, etc.). Your use of third-party services is subject to their terms and conditions. We are not responsible for third-party services or their availability.

14. Modifications to Service

We reserve the right to:

• Modify, suspend, or discontinue any part of the service
• Change features, functionality, or pricing
• Add or remove third-party AI model providers

We will provide reasonable notice of material changes when possible.

15. Termination

15.1 By You

You may terminate your account at any time by contacting support. Unused credits may be forfeited (see Refund Policy).

15.2 By Us

We may terminate or suspend your account if:

• You violate these Terms
• Your account remains inactive for 12 months
• We discontinue the service (with 30 days' notice)
• Required by law or court order

15.3 Effect of Termination

• Your right to use AI Pass immediately ceases
• Unused credits may be forfeited
• We may delete your data after 30 days (except as required by law)
• Provisions that should survive termination remain in effect

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

16.2 Dispute Resolution

For disputes arising from these Terms:

• First, contact us at support@aipass.one to resolve informally
• If unresolved, disputes shall be resolved through binding arbitration
• Arbitration shall be conducted in San Francisco, California
• You waive the right to participate in class actions

16.3 Exceptions

Either party may seek injunctive relief in court for:

• Intellectual property infringement
• Violation of confidentiality obligations
• Emergency security matters

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Pass.

17.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, strikes, etc.).
